Terms of Service

1. Acceptance of Terms

By accessing or using NXTWRK, a platform operated by Southern Stars Network ("we," "us," "our," or the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. You must be at least 18 years old to create an account. By signing up, you represent that you are 18 or older and that the information you provide is accurate.

2. What NXTWRK Is

NXTWRK is an online venue that helps talent, crew, and production companies discover and connect with one another. We do not employ, represent, manage, endorse, screen, or verify members. We do not verify casting notices, job offers, auditions, resumes, headshots, reels, credentials, or any information posted by members. We are not a talent agency, casting agency, employment agency, manager, or union.

3. No Liability for Member Interactions

You understand and agree that NXTWRK is only a means for connecting members. We are not a party to, and have no responsibility or liability for, any communication, agreement, transaction, meeting, audition, employment, hiring, payment, dispute, injury, loss, or harm that occurs between you and any other member or third party, whether online or offline.

You assume all risk when interacting with other members. You are solely responsible for evaluating the character, suitability, safety, and legitimacy of anyone you meet or communicate with through the Platform. We strongly encourage you to verify identities, review credentials independently, meet in safe public places, and never pay to audition or submit to a casting.

4. Member Conduct

You agree not to use the Platform to:

• Harass, abuse, threaten, defame, or discriminate against anyone.
• Post false, misleading, or fraudulent information.
• Solicit minors or request nudity, sexual content, or illegal acts.
• Impersonate another person or misrepresent your affiliation.
• Scrape, copy, or distribute member content without permission.
• Interfere with the Platform's security or operation.
• Violate any applicable law or regulation.

5. Your Content

You retain ownership of the content you upload, including headshots, reels, resumes, and profile information. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to display, store, and transmit your content solely as necessary to operate the Platform and in accordance with your visibility settings. You represent that you have the rights to any content you upload and that it does not infringe the rights of others.

6. Subscriptions, Billing, and Cancellation

Crew and Production accounts are billed on a recurring subscription basis as displayed at signup. Fees are non-refundable except where required by law. You may cancel your subscription at any time from your Account page; cancellation takes effect at the end of the current billing period. We may change subscription fees with reasonable notice.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOUTHERN STARS NETWORK AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Release

To the fullest extent permitted by law, you release NXTWRK and its owners, officers, employees, and agents from any and all claims, demands, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or in any way connected with your interactions with other members or third parties, your use of the Platform, or any dispute between members.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE § 1542, WHICH PROVIDES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

10. Indemnification

You agree to indemnify, defend, and hold harmless NXTWRK and its owners, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Platform, your content, your violation of these Terms, or your interaction with any member.

11. Dispute Resolution; Arbitration; Class Action Waiver

Informal resolution first. Before filing any claim, you agree to try to resolve the dispute informally by contacting us at contactsouthernstarsnetwork@gmail.com. We will attempt to resolve the dispute within 60 days.

Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek relief in small claims court for disputes within the court's jurisdiction. The arbitration will be conducted in Georgia unless we agree otherwise.

Class action waiver. You agree that any arbitration or legal proceeding will be conducted only on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action against us.

Opt-out. You may opt out of the arbitration and class-action waiver provisions within 30 days of first accepting these Terms by emailing us at contactsouthernstarsnetwork@gmail.com with your name, address, and a clear statement that you do not wish to resolve disputes through arbitration.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any legal action that is not subject to arbitration will be brought in the state or federal courts located in Georgia. You consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is held invalid or unenforceable in any jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. The invalidity of any provision in a particular jurisdiction will not affect the validity of that provision in any other jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes take effect means you accept the revised Terms.

15. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or harms the Platform or other members. You may delete your account at any time from your Account settings.
